For the sake of ESOP system construction based on the China characteristics，a comprehensive study on the basic concepts，theoretical basis，development process，current practice，policy measures，international experience，domestic practice is conducted. Then，ESOP system is coming into being based on the content discussed above.And at last，the recommendations to further improve the policy and practice of mixed ownership ESOP in China are put forward. Based on what elaborated above，the ideas or exploration to construct the mixed ownership enterprise are put forward.
