After over 30 years of sustained development，private higher education in Henan Province has made great progress in school-running scale and achievements，thus taking up an increasingly important position in the cause of higher education.In light of the low status and incomplete level of school-running，less distinctive development features，weak teacher resources and incompatible talents trained，this paper proposes the countermeasures of enhancing the legal status of private colleges and universities by formulating policies，increasing the level of school-running through governmental report，building up brand characteristics by innovating system and institutions，establishing high-level teaching team through training of existing teachers and introduction of external resources and cultivating high-quality，applied and innovative talents through practical training.
