    我国国有企业负责人中长期激励若干问题研究

    摘要

    对于国有企业负责人实行中长期激励的手段各有利弊,需要因人而异。企业是否实行股票期权要从四个方面出发进行考虑:一是实行了股票期权制度,是否能够真正有效地激励职业经理人搞出好的业绩,特别是中长期的业绩,或者生产经营情况得到明显改善。二是在我国国有企业实行股票期权制度是否可以使企业所有者——全体人民更好地了解企业的生产经营状况。三是企业负责人是否可以完全对企业的生产经营状况负责,即企业负责人对企业的生产经营决策具有完全的决定权,人财物具有完全的处置和支配权,对企业运营效果、盈利或者亏损即经营业绩承担完全责任。四是实行股票期权制度,可以吸引和留住人才,防止关键岗位人员流失。

    Abstract

    The implementation of long-term incentives of state-owned enterprise executive have advantages and disadvantages,needs vary. Has the implementation of the four aspects of stock options to be considered from the departure:First,the implementation of the stock option system,can really effectively motivate professional managers come up with a good performance,especially long-term performance,or production operation to give improved significantly. Second,the state-owned enterprises to implement ESO take it allows business owners-all the people to better understand the business of production and operation;third,whether the responsible person is solely responsible for the production and operation of enterprises,namely the responsible persons enterprise production and management decision-making with full discretion,human,financial,and has full control over the disposal of business operations effect,assume full responsibility for profit or loss that is operating results. Fourth,the implementation of stock option system that can attract and retain talent,to prevent the loss of key staff positions.
