This paper sets forth its own opinions mainly from three aspects and puts forward some countermeasures and suggestions. Firstly，the author think that，the quality and level of Shanghai’s FDI utilization improved because Shanghai always uphold the biggest advantages of open. Secondly，Hong Kong’s role can not be replaced during Shanghai “introduction” and “going out”. Finally，standing on the new starting point，there still have unlimited potential if Shanghai and Hong Kong to strengthen two-way investment.
