This paper focus on the soft investment environment of Shanghai and Hongkong from the point of institution，market，government service and financial service. The author argues that Shanghai should drawing on the experience of Hongkong such as build capital attraction environment systematically，clear and adjust the functions of government，strengthen the supporting service system construction，strengthen the investment information supply capacity and so on.
