中国资本市场发展路径的特殊性，决定了对场外交易市场结构的预先合理设计在其建设实践进程中的重要意义。本文在借鉴发达国家资本市场建设经验的基础上，提出中国场外交易市场双层递进式市场结构的观点，并对其有效性及其形成条件进行了分析。
