本文通过对国外主要场外（OTC）交易市场（美国的NASDAQ、日本的JASDAQ和台湾的兴柜市场）的比较分析和对中国过去曾存在的场外市场的历史进程的分析，为证券OTC市场的国际经验勾勒一个基本的宏观轮廓。然后在对天津的历史、社会、经济的实际情况进行分析研究后得出结论：作为完善我国多层次资本市场体系重要一环的OTC市场，要在充分借鉴国外成功经验的基础上，构建一个符合市场经济要求、由市场机制发挥配置资源基础性作用的新市场。同时设想了OTC市场的总体设计思路，最后分析了三种可行的方案。
<<This paper implements a comparative analysis of the major Over-the-Counter（OTC）Markets（USA NASDAQ market，Japanese JASDAQ market，Taiwan Emerging Equity Markets）and a historical analysis of development of China’s over-the-counter（OTC）equity market. The study discovers the macro-contour for major international OTC markets. Then according to the history，society and economic environment of Tianjin，constructing Tianjin’s OTC market，as a key layer market of multi-layer market，which meets the demand of the market economy，needs to draw lessons from NASDAQ etc. The paper explores a comprehensive idea for construction of OTC market and finally analyzes three feasible solutions.
