This report defines stock PPP projects and analyzes the relationship between asset transfer and franchise transfer of stock PPP projects，with different research methods. To address the problems in transferring stock PPP assets，it proposes that the application of asset transfer for stock PPP projects，in nature，is a transformation of asset form and which should abide the laws of conservation of value and of market value. Artificially raising the transfer price in violation of the market laws causes inflated governmental revenues and hidden debts，while artificially lowering the transfer price leads to the loss of state-owned assets. Asset transfer of stock PPP projects is to innovate public services，and the operation of public services requires franchise and suggestions in this regard.
