截至2021年,我国A股上市公司实行股权激励已历经15载,尤其是自2016年证监会正式出台《上市公司股权激励管理办法》以来,A股上市公司股权激励实践进入活跃期。基于上述政策时点,本报告选取国内A股上市公司2017~2021年已公告的激励方案作为主要研究对象,通过政策剖析、数据分析等主要方法,力求较为全面地呈现近几年我国上市公司中长期激励的发展历程。整体而言,我国上市公司股权激励政策体系日趋完善,市场实践日益丰富,可为各类型企业开展中长期激励提供经验借鉴。
<<As of 2021,China’s A-share listed companies have implemented equity incentives for 15 years. Especially since the CSRC officially issued the Administrative Measures for Equity Incentives for Listed Companies in 2016,the practice of equity incentives for A-share listed companies has entered an active period. Based on the above-mentioned policy timings,this report selects the incentive plans announced by domestic A-share listed companies from 2017 to 2021 as the main research objects,and tries to comprehensively show the development of equity incentive of China’s listed companies in recent years through major methods such as policy analysis and data analysis. On the whole,the equity incentive policy system of listed companies in China is increasingly improved,and the practice is becoming more abundant,which can provide experience and reference for various types of enterprises to carry out medium and long-term incentives.
