我国证券公司治理结构的建立和完善是证券公司提升自身竞争力的必然选择。证券公司作为知识密集型企业,需要重视领导层的专业化和知识化的发展,公司治理着重以创建知识型、学习型的公司文化为主。目前,我国证券公司内部治理存在着股权结构相对集中、国有性质突出、股权结构治理机制有限、产品同质化严重且竞争激烈等问题,证券公司外部治理存在治理机制缺位、缺乏经理人市场等问题。据此,我们提出了完善证券公司治理结构的基本思路,在内部治理方面,一是优化股权结构,增加融资渠道;二是强化国有大股东治理机制和产品市场的竞争。在外部治理方面,提高外部公司的自主创新能力,加强治理机制建设以适应经济发展,形成以市场为导向的、合理的自主创新环境。同时,证券公司还要加强对员工的约束力度,优化经理人薪酬结构,降低委托代理成本。
<<The establishment and improvement of the governance structure of China’s securities companies is an inevitable choice for securities companies to enhance their competitiveness. As a knowledge intensive enterprise,securities companies need to pay attention to the specialization and knowledge development of the leadership. The corporate governance focuses on creating a knowledge-based and learning corporate culture. At present,there are some problems in the internal governance of China’s securities companies,such as relatively centralized ownership structure,prominent state-owned nature,limited ownership structure governance mechanism,serious product homogenization and fierce competition. There are some problems in the external governance of securities companies,such as the absence of governance mechanism,the lack of manager market and so on. Accordingly,we put forward the basic ideas to improve the governance structure of securities companies. In terms of internal governance,first,increase financing channels and optimize the ownership structure;second,strengthen the governance mechanism of major state-owned shareholders and the competition in the product market;In terms of external governance,improve the independent innovation ability of external companies,strengthen the governance mechanism to adapt to economic development and form a market-oriented and reasonable independent innovation environment. At the same time,we should strengthen the constraints on the company’s personnel,optimize the manager’s salary structure,reduce delegate agent costs.
