    2019年杭绍台铁路实践案例简析

    摘要

    在浙江省委、省政府和中国国家铁路集团有限公司的大力支持下,复星牵头浙商民营联合体参与我国第一条民营控股高铁——杭绍台铁路的投资建设。杭绍台铁路在国内高铁建设领域积极先行先试,首创“PPP+EPC”双模式,在交易结构、股权设置、土地政策、回报机制和风险分担机制等投融资模式方面大胆创新。项目采用省、市出资和可行性缺口补助分担机制,与银团深入合作,有力破解了民营控股高铁项目的融资难题。“杭绍台经验”已在后续的杭温高速铁路、杭衢高速铁路等高铁PPP项目中得到推广,在中国铁路市场化探索的进程中产生了良好的示范效应。

    Abstract

    Under strong support from Zhejiang Provincial Government and China State Railway Group Co.,Ltd.,The Zhejiang private consortium led by Fosun led the investment and construction of Hangzhou-Shaoxing-Taizhou Railway (“HST”),the first Chinese high-speed railway where controlling interest is held by private capital. HST takes the innovative dual model approach of “PPP + EPC”,with breakthroughs in transaction structure,equity cooperation,land policy,profit and risk sharing,and financing,etc. To resolve challenges with private entity financing for large infrastructure projects,HST uses a mix of provincial,municipal funding as well as a Viability Gap Funding mechanism. The “HST Model” has been successfully adopted in subsequent high-speed railway PPP projects such as the Hangzhou-Wenzhou High-speed Railway and the Hangzhou-Quzhou High-speed Railway,and has produced a good demonstration effect in the process of China’s railway market exploration.
