本报告研究分析股权多元化国有企业探索建立市场化薪酬分配机制改革问题,从企业薪酬决策机制、薪酬分配机制和股权激励机制三个方面,分析了国有企业在资本单一状态下的薪酬分配机制缺陷,股权多元化为完善薪酬分配机制创造的有利条件和可能带来的风险,部分企业在混合所有制改革进程中薪酬分配实施配套改革的积极探索和有益经验,以及目前仍需继续探索解决的问题。在此基础上,提出了以下改革建议:推广“多元混合、一方控股”的股权结构;落实董事会薪酬决策自主权;加强薪酬与考核委员会建设;全面推进三项制度配套改革;探索建立更适合员工持股的合法载体等。
<<This paper studies the reform of the market-oriented compensation distribution mechanism in the state-owned enterprises with diversified equity. It analyzes the defects of the compensation distribution mechanism in the state-owned enterprises under the condition of single capital,the favorable conditions and possible risks created by equity diversification to improve the wage distribution mechanism,the positive experience of some enterprises to implement the matching reform in the process of mixed ownership reform,and the problems still need to be solved. The following suggestions are put forward:to promote the equity structure of “multiple mixed,one party holding”;to implement the autonomy of the board of directors’ compensation decision;to strengthen the construction of the compensation and assessment committee;and to explore the establishment of a more suitable legal carrier for ESO.
