While per-capita disposable income has been increasing continuously，Shanghai is also facing the issue of developing in balance. This paper researches the issue of income distribution in Shanghai，from the following dimensions with the public statistic data since the beginning of the era of reform and opening up：different trades，population aging and difference between urban and rural families. Finally，it proposes several suggestions to increase the overall income and to control the tendency of expanding gap of income distribution of the society during promoting sustainable economic growth，so as to improve income distribution in Shanghai during the process of building a moderately prosperous society in all respects.
