The college constitution is the “charter” of college governance and the important foundation of establishing the modern college system of private colleges. This study is based on the framework of the college charter. Firstly，it analyzes the statutes of Chinese and foreign universities and the statutes of private colleges in Henan and other regions by text analysis method，to construct the index system of the statutes of private colleges. Secondly，through the analysis of present situation of elements of the text expression in the articles of association of a private colleges，Starting from the construction and improvement of the five-in-one corporate governance structure and the transformation of the organization structure of private colleges，we will explore the construction path of the charter of private colleges with Chinese characteristics from improving the system of democratic management decision-making，guaranteeing the right of private colleges stakeholders，coordinating to solve the relationship between private colleges and the government，the administrative organization of private colleges and the academic organization.
