This report analyses the corporate governance of Zhongguancun NEEQ from the shareholder and institutional ownership ratio，whether the owner and management are the same subject and independent director system. The data shows that there is heterogeneity in governance between innovation layer and basic layer. The distribution of shareholding ratio of shareholders has changed little，the importance of institutional investors has become prominent，innovative enterprises are more favored by institutional investors，and the proportion of institutional shareholding presents an inverted U distribution；the proportion of chairman and general manager is basically unchanged，and more than half of enterprises are held by the same person；most enterprises have not introduced the independent director system. Compared to the basic layer，innovative pay more attention to independent directors. The present situation of corporate governance of Zhongguancun NEEQ and the environment of China are related to the development status of enterprises.
