2003年国务院成立国资委,其核心职能被归结为三件事:管人、管事、管资产。但是当时国资委监事会下设几十个监事局,每个监事局都要管理100多家央企的监事会,所管理的企业不仅数量多,而且行业跨度大,再加上“管人、管事、管资产”的权责设定,国资委要实现这种一对多的全覆盖管理已不现实。为此,中央开始实施国有资产管理体制改革,主要目标是把国资委“管人、管事、管资产”的职能向下迁移至国资委和国有企业之间,形成一个夹层公司,即我们今天所说的国有资本投资运营公司。本文以国有资本投资运营公司政策背景为基础,概述国有资本投资运营公司中央与地方试点的情况,分析国有资本投资运营公司的组建路径、管控模式和业务布局。

In 2003,the State Council established the State-owned Assets Supervision and administration Commission,whose core functions were attributed to three things:managing people,managing matters,and managing assets. However,at the time,the SASAC Supervisory Committee had dozens of supervisory bureaus,each of which had to manage more than 100 central enterprises' supervisory committees. It is unrealistic for the SASAC to realize this one-to-many full coverage management. To this end,the central government began to implement the reform of the state-owned assets management system. The main objective is to move the functions of the “management,management,and asset management” of the SASAC down to the SASAC and state-owned enterprises to form a mezzanine company,which is what we are today. Said state-owned capital investment operating company. Based on the policy background of state-owned capital investment and operation companies,this paper outlines the situation of central and local pilots of state-owned capital investment and operation companies,and analyzes the formation path,management and control mode and business layout of state-owned capital investment and operation companies.
