This thesis has researched three kinds of governance structure of charitable organization in Qing Dynasty from leadership system，organization structure and decision-making mechanism. The leadership system of charitable organization in Qing Dynasty contains three types，that is rotating system，director system and appointment system. Its organization structure also has three types，that is liner structure，divisional structures and network structure. At last，decision-making mechanism was briefly discussed.
