In the new era of socialism with Chinese characteristics，the changes in the main social contradictions of China has raised new requirements for private education. The economic transformation and upgrading has reconstructed the new ecosystem of private education. The national policy supports the expansion of new space of private education. Under such circumstances，innovation and entrepreneurship has become a new growth point in private education. Only by correctly understanding new ideas，new changes and new goals can the great-leap-forward development of private education be sped up. The transformation and development of private education in the new era should grasp four dimensions，namely，from scale expansion to quality improvement，from administrative management to cooperative governance，from a single standard to multiple evaluation，from factor driven to innovation driven. In order to further promote the transformation and development of private education in Henan Province，it is urgent to solve a number of problems，such as the lack of government policy support，the unimproved corporate governance structure of private schools，the outstanding bottlenecks in the construction of the talent team，the path dependence of educational and teaching mode，and the low quality of innovation and entrepreneurship education.

In the transformation and development，it is necessary to strengthen the government support，optimize the guidance of the service function，improve the corporate governance structure，promote the multi-participation in running a school，intensify the introduction and cultivation work，create a first-class talent team，explore the pattern of characteristic development，form the private education brand，attach importance to the innovation and entrepreneurship education，and improve the comprehensive quality of the students. The comprehensive reform should be launched to increase the quality of private education and the upgrading and transformation of private education.
